Terms of Service

01The service

VAERG provides automated commercial screening of transaction materials ("the Service"). You upload a document package; the Service produces a commercial screening report ("the Report") delivered by email. By uploading documents, you accept these terms on behalf of yourself and, where applicable, the organisation you represent.

02Confidentiality

Every document you upload and every Report we produce is treated as strictly confidential, deal by deal, with the same duty of confidence you would expect under a non-disclosure agreement.

Specifically, VAERG will not:

disclose, share, sell, or otherwise make available your uploaded documents or your Report to any third party, except where required by law;
use your documents or your Report for any purpose other than delivering the Service to you and performing internal quality control of our own work;
use your documents or your Report to inform, benchmark, or advantage any other client, counterparty, or engagement.

This confidentiality obligation survives the completion of the Service and is not limited in time.

03Data handling

Uploaded documents (the IM, financials, and any supporting material) are processed automatically and deleted from our systems when your Report is generated. No person at VAERG reads them.
Your Report is archived as a deliverable, under the confidentiality terms above, so that we can audit the quality of our own work and so that you can re-download it.
System improvement uses anonymised analytical patterns only, such as which claim types fail verification or which errors recur. Documents, company names, and deal-identifying details are not used.
Model providers. Processing runs through enterprise model APIs with data training disabled. Your material is not used to train any foundation model.
Failed jobs. If a screening fails, uploaded documents may be retained temporarily for troubleshooting and are then deleted.

04Nature of the report

The Report is an automated, diagnostic assessment based solely on the documents you supply. It is decision support, not advice. It does not constitute investment advice, a recommendation to proceed with or abstain from any transaction, or an opinion on valuation or deal structure. The underwriting grade may change as additional information becomes available through further diligence. You remain solely responsible for any decision made in reliance on the Report.

05Your responsibilities

You confirm that you are entitled to upload the documents you submit, and that doing so does not breach any obligation you owe to a third party.
You will not upload material you lack authority to share, and you will not use the Service to process documents obtained unlawfully.
You are responsible for the accuracy of the email address you provide; the Report is delivered there.

06Payment and refunds

Screenings are charged per report at the price shown at upload. If a screening cannot be completed because the package is unreadable or the Service fails, you are not charged, and any payment already made for that screening is refunded in full.

07Limitation of liability

To the fullest extent permitted by law, VAERG's total aggregate liability arising out of or in connection with a screening is limited to the fee paid for that screening. VAERG is not liable for indirect or consequential loss, loss of profit, or losses arising from decisions made in reliance on the Report. Nothing in these terms limits liability that cannot be limited under applicable law.

08Changes and governing law

We may update these terms; the version in force when you upload governs that screening. These terms are governed by Swedish law, and disputes are subject to the exclusive jurisdiction of the Swedish courts, with the Stockholm District Court as first instance.
